These Terms of Service ("Terms") govern your use of onyxfounders.com and your participation in Onyx experiences, operated by Onyx Founders LLC ("Onyx," "we," "us," or "our"). By using our Site, applying, or booking an experience, you agree to these Terms. Please read them carefully — they include important limits on our liability and your assumption of risk.
1. Eligibility
You must be at least 18 years old to apply for membership or to submit a guest application. Participation in our experiences is strictly limited to guests 21 years of age or older. We may request proof of age.
2. Membership & Applications
Onyx is a private club. Membership and guest participation are by application and selection only. Submitting an application does not guarantee acceptance. We reserve the right to accept or decline any application, and to revoke membership or participation, at our sole discretion. We are not obligated to provide a reason.
3. Experiences & Bookings
Onyx curates and organizes travel experiences and events. Details of each experience — including itinerary, pricing, inclusions, and dates — are provided at the time of invitation. We reserve the right to modify itineraries, vendors, accommodations, or activities when necessary due to availability, weather, safety, or circumstances beyond our control, while making reasonable efforts to preserve the quality of the experience.
4. Pricing & Payment
Prices for each experience are stated at the time of invitation. To reserve a place, a deposit is required by the stated deadline, with the remaining balance due by the stated final payment date. Places are not held without a deposit. Payments are made through our designated payment provider.
5. Cancellations & Refunds
The deposit is non-refundable in all circumstances.
Cancellations made on or before the stated cancellation deadline for an experience will be refunded in full, less the deposit.
After that deadline, all payments are non-refundable, because our costs are committed in advance and cannot be recovered — subject to the two exceptions below.
Resale: If your place is filled by another approved guest, you will be refunded in full, less the deposit.
Substitution: You may transfer your place to another person, subject to our approval, as our experiences are curated.
If Onyx cancels an experience for any reason (including failure to meet minimum attendance), you will receive a full refund of all payments made, including the deposit. This refund is our sole obligation to you in the event of our cancellation.
We strongly recommend all guests purchase travel insurance.
6. Assumption of Risk
Onyx experiences may include physical and potentially hazardous activities, including but not limited to skiing, snowboarding, snowmobiling, air travel, and other recreational or adventure activities. You understand and voluntarily accept that these activities carry inherent risks, including the risk of serious injury, illness, or death. You represent that you are in adequate physical condition to participate and that you participate at your own risk. You are responsible for your own conduct and for following all safety instructions from vendors and guides.
7. Release & Limitation of Liability
To the fullest extent permitted by law, you release and hold harmless Onyx Founders LLC, its owners, employees, and representatives from any and all claims, injuries, losses, or damages arising from your participation in any experience or use of the Site. Onyx acts as an organizer and coordinator; many services (including transportation, accommodations, dining, and activities) are provided by independent third-party vendors, and Onyx is not liable for the acts, errors, or omissions of those vendors. Our total liability to you for any claim shall not exceed the amount you paid for the experience giving rise to the claim. Onyx is not liable for any indirect, incidental, or consequential damages.
8. Code of Conduct
Onyx is built on respect and discretion. Guests are expected to behave respectfully toward other guests, staff, vendors, and property. We reserve the right to remove any guest from an experience, without refund, for conduct that is unsafe, unlawful, disruptive, or damaging to others or to property. You are responsible for any damage you cause.
9. Media & Content
Onyx experiences may be photographed or filmed for promotional purposes. By participating, you consent to being included in such content and to Onyx's use of it, unless you notify us in writing in advance and we agree otherwise.
10. Intellectual Property
All content on the Site — including the Onyx name, logo, text, and design — is owned by Onyx Founders LLC and may not be used without our written permission.
11. Force Majeure
Onyx is not responsible for failures or delays caused by events beyond our reasonable control, including weather, natural disasters, travel disruptions, government actions, or emergencies.
12. Indemnification
You agree to indemnify and hold Onyx harmless from any claims or costs arising from your breach of these Terms or your conduct during an experience.
13. Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located in Baltimore City, Maryland.
14. Changes to These Terms
We may update these Terms from time to time. The "Effective date" above shows the latest revision. Continued use of the Site or participation in experiences means you accept the updated Terms.
